Cost to Register a Company in the US by a Non-Resident Foreign Entity

 

  • Business Setup structure and fee:
    • C-Corporation or Limited Liability Company (LLC)
    • Cost $1200
    • Time: 2-3 weeks
  • Agent Service Fee:
    • $0 if the business is started in NJ and we act as your registered agent.
    • For the States where you don't know anyone who can act as your registered agent, the cost of this service is in the range of $125-$250 per year
  • Address Fee:
    • If you open the company with us in the State of New Jersey
      • $0 address fee for the first year and $60 per month minimum from the 2nd year onwards
  • Business Setup includes acquiring
    • Federal Tax ID (EIN)
    • Certificate of Formation / Incorporation by the State
    • State Tax registration, and labor registration.
  • Tax Filing
    • Sales tax filing fee (if needed): $150/Qtr.
    • Annual Tax Filing Fee: In our experience with the companies generating revenue, the range is between $600 - $1200 depending upon various factors including the number of transactions.

 

Special model: In certain specialized cases, Entry USA becomes the partner in the company that is being formed by the foreign company. 

In the partnership model, we sign an agreement that states all the necessary items with terms and conditions.

  2. For the Owners, we will need
    • Percentage ownership: 
      • Individual/s, or 
      • Foreign entity
    • Full Legal Name: 
      • Of all the owners, in the case of individuals
      • Signing Authority, in case of 100% subsidiary
    • Address
    • Identifications: 
      • For foreign nationals, we require passport copies of the pic and address page
      • For US nationals: SSN and copy of the license or passport
      • For foreign company: its formation documents
